Picture Submission Agreement

This Agreement shall come into force as of the date of submission, hereinafter referred to as the "Effective Date".

This Agreement ("Agreement") between E-on Software, SARL, 15 rue Traversiere, 75012 Paris, France ("e-on software"), and the author of the works submitted to e-on software, ("CONTRIBUTOR") (collectively, "the Parties"). E-on Software SARL is a wholly owned subsidiary of Bentley Systems International Ltd., a subsidiary of Bentley Systems, Incorporated. The Parties acknowledge and agree that under this Agreement, CONTRIBUTOR grants rights to e-on software and Bentley Systems, Incorporated, its subsidiaries, affiliates, and channel partners ("Bentley"). 

As complete and full consideration for receiving additional visibility in the market hereby, CONTRIBUTOR authorizes e-on software and Bentley to publish and/or distribute any and all pictures sent by CONTRIBUTOR to e-on software (hereinafter referred to as the "PICTURES") on e-on software and Bentley websites and/or with, or in connection with software, CD-ROMs or other products developed for the commercial market by e-on software (hereinafter referred to as the "PRODUCTS").

This authorization constitutes a perpetual, royalty-free license to publish the Pictures worldwide, in any and all languages, for all formats and in all media now known, or hereafter developed, and for any and all editions, revisions and adaptations of the PRODUCTS and in any derivative works based thereon. Such license shall include without limitation, the right to (i) reproduce and duplicate the PICTURES, (ii) combine the PICTURES with other materials, (iii) rename and/or reorganize the PICTURES, (iv) distribute, license and sub license the PICTURES in conjunction with distributing, licensing, sub licensing, marketing and/or publishing the PRODUCTS, (v) market, promote and advertise the PICTURES as part of the PRODUCTS, (vi) use any trademarks contained in the PICTURES as contemplated by this license.

The Contributor hereby warrants and represents that (i) he/it has full right and power to grant the rights granted herein, (ii) the PICTURES are original and do not infringe any copyright, trademark, or other intellectual property rights or personal or proprietary rights of any person or entity or contain any scandalous, libelous or unlawful matter, (iii) the PICTURES do not contain any virus or Trojan Horse or other software routine designed to permit unauthorized access, to disable, erase, or otherwise harm software, hardware, or data.
